Terms of Service

These Terms are an agreement between you (the dealership and its users) and Truss DMS. By creating an account or using Truss DMS, you agree to these Terms. If you are agreeing on behalf of a dealership, you represent that you have authority to bind it.

1. The service

Truss DMS is a subscription, cloud-based dealership management platform for trailer dealerships — covering inventory, parts, service, deals, invoicing, payments, rentals, documents, reporting, and related features. We may add, change, or remove features over time.

2. Accounts and eligibility

  • You must provide accurate account information and keep it current.
  • You are responsible for safeguarding login credentials and for all activity under your accounts.
  • You are responsible for your users and for ensuring they comply with these Terms.
  • You must be at least 18 and able to form a binding contract.
  • Notify us promptly at support@trussdms.com of any unauthorized use.

3. Your data and ownership

You own your data. As between you and us, the dealership retains all rights to the content and records it puts into Truss DMS("Customer Data"), including your inventory, customers, and transactions. You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and support the service.

You are responsible for your Customer Data and for having the necessary rights and consents to provide it — including the personal information of your own customers. You agree to handle that information in compliance with applicable privacy and consumer-protection laws.

4. Acceptable use

You agree not to:

  • Use Truss DMS for anything unlawful, infringing, deceptive, or harmful.
  • Upload data you don't have the right to use, or that contains malware.
  • Attempt to access another dealership's data, or probe, breach, or circumvent security.
  • Reverse engineer, resell, or copy the service except as allowed by law.
  • Interfere with or disrupt the integrity or performance of the service.

5. Subscriptions, fees, and billing

  • Paid plans are billed in advance on a recurring basis through our payment processor (Stripe).
  • Fees are exclusive of taxes, which you are responsible for where applicable.
  • Subscriptions renew automatically until cancelled; you can cancel effective at the end of the current term.
  • Except where required by law, fees are non-refundable and partial periods are not prorated.
  • We may change pricing or plans with reasonable prior notice; changes apply on your next renewal.
  • If payment fails or an account is past due, we may suspend access after notice.

6. Payments you collect from customers

Truss DMS can help you request and record payments from your customers. Card processing is performed by Stripe under its own terms; card details go directly to Stripe and are not stored by us. You are responsible for your own merchant relationship, refunds, chargebacks, and compliance with card-network and applicable financial rules.

7. Third-party integrations

You may choose to connect third-party services — such as QuickBooks Online, Stripe, or SMS delivery. Your use of those services is governed by their terms and privacy policies, and we are not responsible for them. You authorize us to exchange data with a service when you connect it, and you can disconnect it at any time.

8. AI features

Optional AI features generate drafts and suggestions to assist your staff. Output may be inaccurate or incomplete and is provided for your review — you are responsible for checking and approving anything before you rely on, publish, or send it. AI output is not legal, tax, financial, or appraisal advice.

9. Electronic documents and signatures

Truss DMS can generate documents and capture electronic signatures. You are responsible for confirming that a given document and signing process meets the legal, disclosure, titling, and registration requirements of your jurisdiction and transaction. We provide the tooling, not legal assurance of enforceability.

10. Intellectual property

We and our licensors own Truss DMS, including its software, design, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. If you send us feedback, you grant us a royalty-free license to use it to improve the service.

11. Confidentiality

Each party may access non-public information of the other. Each party agrees to protect the other's confidential information with reasonable care and to use it only as needed to perform under these Terms.

12. Disclaimers

Truss DMSis provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will meet every requirement.

13. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or relating to the service will not exceed the amounts you paid us for the service in the twelve months before the event giving rise to the claim.

14. Indemnification

You agree to defend and indemnify us against third-party claims arising from your Customer Data, your use of the service in violation of these Terms, or your violation of law or the rights of others.

15. Term and termination

These Terms apply while you use Truss DMS. You may cancel at any time. We may suspend or terminate access for material breach, non-payment, or as required by law, generally with notice and a chance to cure where practical. On termination, your right to use the service ends; we will make Customer Data available for export for a limited period, after which we may delete it.

16. Governing law

These Terms are governed by the laws of the state in which the Company is organized, without regard to conflict-of-law rules. The parties submit to the courts located there for disputes not otherwise resolved, except that either party may seek injunctive relief to protect its intellectual property or confidential information.

17. Changes to these Terms

We may update these Terms from time to time. When changes are material, we will update the "last updated" date and, where appropriate, notify account holders. Continued use of Truss DMS after changes take effect constitutes acceptance.
